1. Acceptance of Terms

Artha Terminal (the "Platform") is operated by Quantrast Technologies Private Limited ("Quantrast", "we", "us"). By accessing or using the Platform, you accept and agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.

These Terms are to be read together with our Privacy Policy and our Risk Disclosure and Disclaimer, which form part of this agreement.

2. Nature of the Service

The Platform is a financial intelligence and analytics tool. Its purpose is to examine and explain a portfolio that you already hold with a licensed broker, and to present information about markets and instruments. Through the Platform you may:

• Connect a broker account you already hold, and read the holdings and account data that broker releases
• View computed measures over that data, including valuation, allocation, concentration, and historical performance
• View market data, corporate information, and news
• Build watchlists and set alerts for your own reference
• Read study material, definitions, and software-generated explanations

3. What the Platform Does Not Do

You agree and acknowledge that the Platform:

• Does not accept, place, route, match, execute, modify, or settle any order in any security or instrument, and facilitates no trading of any kind
• Does not hold, receive, or handle client funds or client securities, and operates no trading account, demat account, or client bank account
• Does not act as your agent, your broker, your adviser, or your fiduciary, and accepts no instruction from you in respect of any security
• Does not provide investment, financial, tax, or legal advice, and makes no recommendation of any kind

Where the Platform displays a link that opens your broker's own order window, that window belongs to the broker. You review and confirm the order inside the broker's system, under the broker's terms, and the broker alone creates, accepts, executes, and settles it. Quantrast is not a party to that order.

4. Indicative Outputs and No Advice

You agree and acknowledge that:

• All metrics, charts, scores, screens, projections, comparisons, and written explanations are produced by automated computation over third-party data, and are estimates rather than statements of fact
• A different method, period, or data source can produce a materially different figure for the same portfolio
• Nothing on the Platform is financial advice, investment advice, a recommendation, an opinion on suitability, an offer, or a solicitation, and nothing is prepared with regard to your objectives, financial situation, or needs
• Artificial intelligence features may produce incomplete or inaccurate output, and must be verified against the primary source before you rely on them
• Where a figure on the Platform differs from your broker or depository record, that record is the authoritative one
• Every decision about your money is yours alone, and you should consult a licensed professional if you want advice

The Risk Disclosure and Disclaimer sets this out in full, and you confirm that you have read it.

5. Permitted Use

The Platform is licensed to you for your own personal, non- commercial use, to examine your own portfolio and to inform your own understanding. You agree that you will not:

• Present any output of the Platform to another person as advice, as a recommendation, or as a research report
• Use the Platform to provide a regulated service to a third party, unless you hold the licence that service requires and you make clear that Quantrast is not its source
• Redistribute, resell, or republish market data or Platform output, in whole or in part
• Represent yourself as a partner, agent, or representative of Quantrast

6. User Accounts

To use certain features of the Platform, you must create an account. The Platform is available only to individuals aged 18 and above. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

7. Broker Connections

Each broker integration on the Platform operates under a partner integration arrangement between Quantrast and that broker, using the broker's own published interface and the broker's own authorisation flow.

• You authenticate on the broker's own login page, on the broker's domain. Your broker password, PIN, and second factor are never transmitted to, or stored by, Quantrast
• The broker determines the scope of the access it grants and when that access expires
• You may withdraw access at any time by disconnecting the broker in Settings
• Your relationship with the broker is a separate relationship, governed by the broker's own terms. The broker remains responsible for your account, your orders, your funds, and your securities
• Quantrast is not responsible for the availability, accuracy, charges, or conduct of any broker, and is not liable for any loss arising from them

8. Data and Privacy

We read your portfolio data for one purpose only: to produce the analysis you asked the Platform to show you. We do not sell your personal data or your portfolio data, we do not trade on it, and we do not use it to make any decision on your behalf.

Your use of the Platform is also governed by our Privacy Policy, which describes what we collect, why, who processes it, and how long we keep it.

Quantrast Technologies Private Limited is a Data Fiduciary under the Digital Personal Data Protection Act, 2023. By creating an account you consent to us processing your personal data for the purposes set out in the Privacy Policy. You may withdraw that consent at any time, and you have rights of access, correction, erasure, nomination, and grievance redressal — all described in the Privacy Policy, which also names our Grievance Officer and explains how to escalate to the Data Protection Board of India.

9. Intellectual Property

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, and software, are the exclusive property of Quantrast Technologies Private Limited and are protected by copyright, trademark, and other intellectual property laws. Market data displayed on the Platform remains the property of its originating source and is shown to you under the terms on which we receive it.

10. Prohibited Activities

You agree not to:

• Use the Platform for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any portion of the Platform
• Interfere with or disrupt the Platform or servers
• Transmit any viruses, malware, or malicious code
• Use automated systems or software to extract data from the Platform
• Impersonate any person or entity
• Use the Platform in connection with market manipulation, insider dealing, or any other market abuse

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. QUANTRAST DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, NOR THAT ANY DATA OR COMPUTED OUTPUT DISPLAYED IS ACCURATE, COMPLETE, OR CURRENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTRAST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE PLATFORM.

Because the Platform executes no orders and holds no assets, Quantrast is not liable for any decision you take about your money, for the outcome of any position you hold, or for the acts, omissions, or availability of any broker or third-party data source.

13. Indemnification

You agree to indemnify, defend, and hold harmless Quantrast, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any rights of another party.

14. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will immediately cease.

You may close your account at any time. Email team@arthaterminal.com with the subject "Deletion request", quoting the email address you signed up with. We will erase your account and personal data within 30 days, as described in Section 7.2 of the Privacy Policy.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts located in Mumbai, India.

16. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and our Risk Disclosure and Disclaimer, constitute the entire agreement between you and Quantrast regarding the use of the Platform and supersede all prior agreements and understandings.
